  • Certificate of Incorporation and Certificate for Commencement of Business
  • Memorandum and Articles of Association (MoA & AoA)
  • Detailed shareholding structure (shareholders’ names, number of shares, face value of shares)
  • Minutes of meetings and resolutions passed by the Board of Directors and shareholders
Financials
  • Audited financial statements (including annual reports, board reports, and latest unaudited numbers)
  • Copies of share certificates issued to shareholders, along with proof of stamp duty payment
  • Overview of business activities and revenue model
  • List of directors with details such as address, qualifications, DIN, and PAN
Agreements & Contracts
  • List of loans extended to directors or affiliates, along with relevant loan agreements
  • Copies of all contracts and agreements to which the company is a party
Human Resources

  • List of key managerial employees with employment terms, remuneration, and notice/severance details

  • Employee benefit policies including ESOPs, retirement benefits, and leave policies
Intellectual Property
  • List of all intellectual property owned (trademarks, copyrights, patents, domain names – whether registered or not), including applications and registration details
  • Licenses and agreements for third-party intellectual property used by the company
  • Information on open-source software incorporated in the company’s core technology or products
